About the Opportunity
Our client, a well-established consumer-lending NBFC backed by an international financial group, is appointing a whole-time Finance Director / CFO as part of strengthening its statutory Board for a planned India expansion. This is a hands-on financial leadership role responsible for the financial strategy, controls, and regulatory financial reporting of the NBFC. The person must be deeply involved in the business and comfortable representing the company before the RBI an operational directorship, not a non-executive board seat.
Key Responsibilities
Lead Finance, Accounting, and Financial Controls for the NBFC.
Own financial planning, budgeting, and forecasting.
Deliver regulatory and statutory financial reporting, including RBI returns.
Manage treasury, liquidity, and asset-liability management (ALM).
Liaise with the RBI, auditors, banks, and regulators.
Present financial matters to the Board and ensure strong internal controls and financial governance.
Ideal Candidate
CFO, Finance Director, or Head of Finance with a strong NBFC or Banking background.
CA preferred; MBA (Finance) or CFA also valued.
Hands-on experience with RBI reporting, audits, and regulated financial institutions.
Deep understanding of NBFC operations, treasury, and ALM.
Director Eligibility (Fit & Proper Criteria)
The candidate must:
Not be disqualified under Section 164 of the Companies Act, 2013.
Be willing and able to obtain and maintain a valid Director Identification Number (DIN).
Hold at least a graduate-level qualification with relevant professional experience in business, financial services, or governance.
Have relevant experience of having worked in a Bank or an NBFC.
Be between 35 and 70 years of age.
The candidate must not:
Have any conviction involving moral turpitude, fraud, dishonesty, financial impropriety, or serious economic misconduct.
Be subject to unresolved or material adverse proceedings by the RBI, SEBI, IRDAI, MCA, tax authorities, or other regulators.
Have been associated with entities prosecuted, sanctioned, or investigated for serious legal or regulatory violations relevant to this appointment.
Hold directorships in more than two NBFCs simultaneously, or sit on the board of more than three NBFCs in the relevant regulated layers at the same time.
The candidate should preferably:
Not be a wilful defaulter, insolvent, or subject to bankruptcy-type disability.
Have no history of serious credit delinquency, fraudulent conduct, or market misconduct.
Be able to withstand reputational and supervisory scrutiny from the RBI and other authorities, and act independently in the interest of the NBFC with no material conflict of interest.
