Legal & Compliance Officer (Multi-Industry Conglomerate)

1. Legal Documentation & Transaction Management: Draft, vet, and manage legal documentation including Loan Agreements, Term Sheets,Sanction Letters, Security Documents (Mortgages, Guarantees, Hypothecation, Pledge,Declarations, etc.) Ensure accuracy, completeness, and enforceability of all legal documents.Standardize documentation templates in line with regulatory and businessrequirements. 2. Client Due Diligence & Credit Support: Draft and continuously formulate processes for KYC and related Borrower duediligences in line with the Regulatory/internal requirements.Support credit team by providing legal insights on borrower risk, collateralenforceability, and structuring transactions.Guide Credit Analysts on legal implications related to lending proposals. 3. Property & Asset Due Diligence: Perform title verification and legal due diligence for property-backed transactions.Validate ownership, encumbrances, and legal clearances.Oversee mortgage creation and ensure proper documentation of security interests. 4. Regulatory Compliance & Reporting : Ensure compliance with applicable laws, including:o RBI Act, Rules, Regulations, and Circularso Companies Act, 2013o NBFC-specific regulatory frameworks Monitor regulatory updates and ensure timely implementation across theorganization.Draft and respond to communications from RBI and other statutory/regulatoryauthorities.Maintain compliance trackers and ensure adherence to timelines. 5. Statutory Registrations & Filings: Handle registration and compliance requirements including:o Charge registration with ROCo Security interest registration with CERSAIo LEI (Legal Entity Identifier) registration and renewalso CKYC compliance Ensure timely filings and renewals to avoid regulatory penalties. 6. Litigation & Recovery Management: Manage litigation portfolio including:o Coordination with external legal counselo Tracking case progress and maintaining legal MIS Draft and issue legal notices (demand notices, recall notices, etc.) Support recovery proceedings and enforcement actions under applicable laws. 7. Stakeholder Management: Liaise with:o Internal teams (Credit, Operations, Risk, Secretarial)o External stakeholders (law firms, regulatory authorities, clients) Provide timely legal advice and support for business decisions. Qualifications & Experience:LLB / LLM from a recognized university Certification in Banking &Finance Laws / Financial Regulations / Compliance Management will be preferred. 5 - 8 years of experience in Legal &Compliance within NBFC / Banking / Financial Services Experience in lending transactions, documentation, and regulatory compliance is essentialKey Performance Indicators (KPIs) Zero regulatory penalties or compliance lapses Turnaround time for legal documentation within stipulated days Timely closure of litigation/recovery cases Accuracy rate in due diligence and documentation Propose legal documentation structures within defined thresholds Recommend risk mitigation strategies for lending transactions Escalate high-risk cases to senior management Key Competencies: Strong knowledge of NBFC regulations and RBI guidelines Expertise in legal drafting and contract management Understanding of secured lending, collateral structures, and recovery laws Analytical thinking and risk assessment ability Strong stakeholder management and communication skills Attention to detail and compliance orientation Preferred Industry Exposure Non-Banking Financial Companies (NBFCs) Banking and Financial Services Real Estate and Mortgage Financing Corporate Legal & Compliance Function .
