Eligibility Criteria & Qualifications
Educational Qualification: Bachelor of Laws (LL.B.) from a recognized university. A Company Secretary (CS) qualification will serve as an added advantage.
Experience Requirement: Prior working experience in a reputed law firm dealing with corporate, banking, and finance transactions.
Required Skills: Strong negotiation, legal research, commercial drafting, and client communication capabilities.
Domain Expertise: Working knowledge of corporate governance, commercial contracts, and banking regulations.
Mandatory Requirement: Only candidates with active experience working in corporate law firms or firms handling corporate/banking matters are eligible to apply.
Roles and Responsibilities
Contract & Transaction Drafting: Draft, review, and negotiate Share Purchase Agreements (SPA), Shareholders Agreements (SHA), escrow agreements, assignment deeds, and lease/license deeds.
Project Finance & Banking Documentation: Prepare and vet project finance documents, loan agreements, mortgage deeds, hypothecation deeds, and Trust & Retention Account (TRA) contracts.
Statutory Compliance & Legal Opinions: Formulate legal opinions under the Companies Act, 2013, Foreign Exchange Management Act (FEMA), SARFAESI Act, Insolvency and Bankruptcy Code (IBC), and related commercial statutes.
Corporate Due Diligence: Assist senior partners in end-to-end legal due diligence for mergers, investments, and corporate restructuring.
